2022年8月10日，由国枫提供法律服务的宝鼎科技股份有限公司（以下简称“宝鼎科技”，股票代码：002552）以发行股份对价支付的方式，向招远永裕电子材料有限公司、招金集团有限责任公司（以下简称“招金集团”）等交易对方购买其合计持有的山东金宝电子股份有限公司63.87%股权，同时向宝鼎科技控股股东招金集团全资子公司招金有色矿业有限公司发行股份募集配套资金不超过30,000万元的重大资产重组项目（以下简称“本次重组”），经中国证券监督管理委员会并购重组委2022年第12次会议审核无条件通过。
宝鼎科技是山东省招远市人民政府实际控制的A股上市公司，主营业务为大型铸锻件的研发、生产、销售，主要为船舶、电力、工程机械和石化等行业提供不可或缺的成套装备。本次重组交易完成后，上市公司主营业务将在大型铸锻件的研发、生产、销售的基础上新增电子铜箔、覆铜板的设计、研发、生产及销售业务，为上市公司可持续发展注入新的动力，增强上市公司盈利能力及资产质量，有利于维护上市公司中小股东利益。
