2016 年 1 月 15 日，由北京国枫律师事务所承办的凯撒（中国）股份有限公司（证券简称：凯撒股份，股票代码：002425）发行股份及支付现金购买资产并募集配套资金项目获得中国证监会上市公司并购重组审核委员会2016年第5次会议有条件审核通过。
本次交易中凯撒股份通过发行股份及支付现金购买资产及配套融资的方式，购买交易对方持有的四川天上友嘉网络科技有限公司 100%的股权，其中，向何啸威、张强、刘自明以发行股份及支付现金方式购买其合计持有的四川天上友嘉网络科技有限公司87.5%股权，向刘自明、深圳市深港产学研创业投资有限公司以支付现金方式购买其合计持有的四川天上友嘉网络科技有限公司12.5%的股权。
