Grandway Advised UPL on its Acquisition of Laoting Yoloo

Grandway advised UPL Limited on its acquisition of Yoloo (Laoting) Bio-technology Co. Ltd.. The deal was recently closed after more than 2 years of negotiation. Grandway acted as the sole legal counsel for UPL and provided full legal services covering deal structuring, tax planning, MOU, legal due diligence, transactional documents drafting, commercial negotiation, offshore cooperation, closing, etc.

UPL is a global agricultural solutions company listed in the Mumbai Stock Exchange of India with a pro forma revenue of US$ 4.7 billion. It has a commercial presence in over 130 countries accounting for over 90% of the world’s food basket. Yoloo (Laoting) Bio-technology Co. Ltd. has large product portfolio across fungicides, herbicides and insecticides with strong marketing and distribution presence across key provinces in China. It has a large formulation facility which can formulate the entire product portfolio range.
